Common use of No Duplicates Clause in Contracts

No Duplicates. Neither the Seller nor any of its Affiliates shall directly or indirectly retain, use or transfer any copies, duplicates or derivative versions of any of the Company's databases or mailing lists (whether in postal or e-mail form) from and after the Closing Date without the Purchaser's prior express written consent; provided, however that the Seller may continue to use the Seller's own databases and mailing lists which contain some limited overlap of information with that contained in the Company's databases and mailing lists, so long as the Seller does not take any action inconsistent with the Purchaser's sole rights in the Company's databases and mailing lists.
