No Effect on Payments Sample Clauses

The "No Effect on Payments" clause establishes that certain events or actions—such as amendments, waivers, or the exercise of rights under the agreement—do not alter the parties' obligations to make payments as originally agreed. For example, if a party exercises a right to terminate a service or if there is a dispute over performance, this clause ensures that payment terms and amounts due remain unchanged unless explicitly modified. Its core practical function is to maintain financial certainty and prevent parties from using other contractual events as grounds to delay, reduce, or avoid payment obligations.
