Common use of No Exercise of Appraisal Rights Clause in Contracts

No Exercise of Appraisal Rights. Such Stockholder waives and agrees not to exercise, assert or perfect, or attempt to exercise, assert or perfect any appraisal rights or dissenters’ rights in respect of such Stockholder’s Subject Shares that may arise with respect to the Merger and/or the transactions contemplated by the Merger Agreement (including, without limitation, under Section 262 of the DGCL).

No Exercise of Appraisal Rights. Such Stockholder hereby waives and agrees not to exercise, assert or perfect, or attempt to exercise, assert or perfect exercise any appraisal rights or dissenters’ rights right to dissent in respect of such Stockholder’s the Subject Shares that may arise with respect to the Merger and/or the transactions contemplated by the Merger Agreement (including, without limitation, under Section 262 of the DGCLDGCL or otherwise).

No Exercise of Appraisal Rights. Such Stockholder waives hereby irrevocably and unconditionally waives, and agrees not to exerciseexercise or assert, assert on its own behalf or perfecton behalf of any other holder of Common Shares, or attempt to exerciseany rights of appraisal, assert or perfect any appraisal rights or dissenters’ rights in respect of such Stockholder’s Subject Shares that may arise with respect to the Merger and/or the transactions contemplated by the Merger Agreement (including, without limitation, or any similar rights under Section 262 of the DGCL)DGCL relating to the Merger that Stockholder may have by virtue of, or with respect to, any Subject Securities.

Such Stockholder waives and agrees not to exercise, assert or perfectand hereby irrevocably and unconditionally waives, or attempt to exercise, assert or perfect any appraisal rights or dissenters’ dissenter’s rights (including under Section 262 of the DGCL) in respect of such Stockholder’s Subject Shares that may arise with respect to the Merger and/or the transactions contemplated by the Merger Agreement (including, without limitation, under Section 262 of the DGCL)Merger.
