No assets or property of the Company and its Subsidiaries, nor any part thereof (other than immaterial or non-substantial portions of such assets and property not forming the Project Property), has been taken or expropriated by any Governmental Body nor has any notice been given or Proceeding commenced by a Governmental Body in respect thereof nor, to the knowledge of the Company, is there any intent or proposal to give any such notice or commence any such Proceeding.
