To the knowledge of Borrower and Guarantor, neither this Loan Agreement nor any schedule or exhibit hereto (including without limitation the Term Note, Security Agreement and Guaranty), nor any written statement or certificate furnished in connection herewith or any of the transactions contemplated hereby, contain or will contain an untrue statement of a fact or omits or will omit to state a fact that is necessary in order to make the statements contained herein and therein, in the light of the circumstances under which they are made, not materially misleading.
