No Fees or Commissions. The Sellers’ Representative will not be entitled to any fee, commission or other compensation for the performance of its service hereunder.
No Fees or Commissions. Each Party represents and warrants to the other Party that no individual, partnership, or corporation is entitled to a brokerage commission, finder’s fee or other like payment in connection with the contribution of the Interests, except for any compensation that may become payable to Tudor, Pickering, Xxxx & Co., in its capacity as independent financial advisor to the SXCP Conflicts Committee.
No Fees or Commissions. No fee or commission shall be payable by the Company to the Series Certificate Holder, the Swap Counterparty or the Agent in connection with this Sales Agency Agreement or any Sale.

No broker’s or finder’s fee or commission will be payable with respect to this Agreement or any of the transactions contemplated hereby (other than fees payable to Agents and Lenders under subsection 2.3), and each of the Company and the Borrower hereby indemnifies Lenders against, and agrees that it will hold Lenders harmless from, any claim, demand or liability for any such broker’s or finder’s fees alleged to have been incurred in connection herewith or therewith and any expenses (including reasonable fees, expenses and disbursements of counsel) arising in connection with any such claim, demand or liability. Except as set forth on Schedule 5.12, no Loan Party has entered into any agreement or arrangement to pay any portion of its revenues from any Project or from the Sands Macao Casino to any other Person, and to the Company’s and the Borrower’s knowledge no other Person has entered into any such agreement or arrangement on its behalf.
No Fees or Commissions. The Borrower has not incurred, nor will the Borrower incur, directly or indirectly any liability for brokerage or finder’s fees or agent’s commissions or any similar charges or fees in connection with this Agreement or the issuance of any Shares to the Lender contemplated hereby.
No Fees or Commissions. Except as expressly provided by this Agreement, neither Dacha nor any of its subsidiaries is or will be obligated to pay any fee or commission to any Person in connection with the transactions contemplated by this Agreement.

Contractor has not employed or retained any company or person, other than a bona fide employee working solely for Contractor to solicit or secure this Agreement and Contractor has not paid or agreed to pay any person, company, corporation, individual, or firm other than a bona fide employee working solely for Contractor, any fee, commission, percentage, gift, or any other consideration contingent upon or resulting from the award or making this Agreement.
No Fees or Commissions. Except pursuant to this Agreement, the Company has not incurred any liability for any finder’s or broker’s fee or agent’s commission in connection with the execution and delivery of this Agreement or the consummation of the transactions contemplated hereby or by the Registration Statement. In addition, any certificate signed by any officer of any Capital Party and delivered to any Underwriter or counsel for the Underwriters in connection with the offering of the Shares shall be deemed to be a joint and several representation and warranty by each Capital Party, as to matters covered thereby, to each Underwriter.
