No Fees or Commissions. Each Party represents and warrants to the other Party that no individual, partnership, or corporation is entitled to a brokerage commission, finder’s fee or other like payment in connection with the contribution of the Interests, except for any compensation that may become payable to Tudor, Pickering, Xxxx & Co., in its capacity as independent financial advisor to the SXCP Conflicts Committee.
