No Fees Payable by the MPF Banks with Respect to the Servicing Transfer. The PFIs agree that (i) neither of the MPF Banks shall have any obligation to compensate either the Selling PFI or Colonial with respect to transfer of the Subject Servicing to Colonial, and (ii) the only liability of the Owner Bank shall be for: (a) the Credit Enhancement Fees as provided in Section 3.4, and (b) the Servicing Fee in the amount of twenty-five basis points (0.25%) of the Principal Balance of the Serviced Mortgages paid in accordance with the Servicing Sale Manual, which Colonial shall be entitled to retain as if the Concurrent Sale MCs had been issued under the terms of the Colonial PFI Agreement.
