Common use of No Filings; Consents Clause in Contracts

No Filings; Consents. Other than as required under the applicable requirements of the Securities Exchange Act of 1934, as amended and including any regulations promulgated thereunder, no consents or approvals of or filings or registrations with any Governmental Entity are necessary in connection with (i) the execution and delivery by the Stockholder of this Agreement and (ii) the performance by the Stockholder of his respective obligations under this Agreement.

Other than as required under the applicable requirements of the Securities Exchange Act of 1934, as amended and including any regulations promulgated thereunder, no consents or approvals of or filings or registrations with any Governmental Entity Authority are necessary in connection with (i) the execution and delivery by the Stockholder Principal Stockholders of this Agreement and (ii) the performance by the Stockholder Principal Stockholders of his their respective obligations under this Agreement, including the delivery of the Principal Stockholder Consent by each Principal Stockholder pursuant to Section 3(a) hereof.
