No Further Consents Required. No consent, approval, authorization or order of, or filing with, any court or arbitrator or governmental agency or body is required for the consummation of the transactions contemplated by this Agreement in connection with the issuance or sale of the Common Shares by the Company, except such as may be required by the federal securities laws or the securities or Blue Sky laws of the various states in connection with the offer and sale of the Common Shares or for such as have been obtained and delivered to the Representatives and counsel for Sales Agent as of the date of this Agreement.

No consent, approval, authorization or order of, or filing with, any court or arbitrator or governmental agency or body is required for the consummation of the transactions contemplated by this Agreement in connection with the issuance or sale of the Common Shares by the Company, except such as may be required by the federal securities laws or the securities or “Blue Sky Sky” laws of the various states in connection with the offer and sale of the Common Shares or for such as have been obtained and delivered to the Representatives Representative and counsel for Sales Agent the Underwriters as of the date of this Agreement.
