No Further Ownership Rights in Shares of Company Stock. The portion of the Merger Consideration delivered upon surrender of and in exchange for shares of Company Stock in accordance with the terms of Section 1.7 will be deemed to have been delivered in full satisfaction of all rights pertaining to such shares of Company Stock. At the Effective Time, all shares of Company Stock issued before the Effective Time will cease to exist, and each certificate previously representing any such shares will represent only the right to receive that portion of the Merger Consideration determined in accordance with Section 1.7, provided, however, that certificates representing Dissenting Shares will entitle the holder thereof only to the right to receive the fair value of such shares in accordance with Delaware Law.
