No Governmental Authorization or Consents Required. Except for filings and consents required by the Insurance Commissioner of the State of Delaware, prior to the Closing, no consent, order, authorization or approval or other action by, and no notice or disclosure to or filing with, any governmental or regulatory authority will be required to be obtained or made by Seller, IHC, the Company or any of its Subsidiaries in connection with the due execution and delivery by the Company of this Agreement and the Ancillary Agreements and the consummation by the Company of the transactions contemplated hereby.
