No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Legal Requirement or Order (whether temporary, preliminary or permanent) that is in effect and that prohibits or makes illegal, or materially impacts, the consummation of the transactions contemplated by this Agreement or materially alters the terms of this Agreement;

No Governmental Entity. or court of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Legal Requirement law, rule, regulation, executive order, judgment, decree, injunction or Order other order (whether temporary, preliminary or permanent) that which is then in effect and that prohibits has the effect of making the Merger or makes illegal, or materially impacts, the consummation any of the transactions contemplated by this Agreement or materially alters the terms of this Agreement;hereby illegal.

No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Order writ, judgment, decree, injunction or other order (whether temporary, preliminary or permanent) (collectively, an "Order") that is then in effect and that restrains, enjoins or otherwise prohibits or makes illegal, or materially impacts, the consummation of the transactions contemplated by this Agreement or materially alters the terms of this Agreement;Merger, and no Governmental Entity shall have instituted any Proceeding which continues to be pending seeking any such Order.

No Governmental Entity. or court of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Legal Requirement law, rule, regulation, executive order, judgment, decree, injunction or Order other order (whether temporary, preliminary or permanent) that which is then in effect and that prohibits or makes has the effect of making the Merger illegal, or materially impacts, the consummation of the transactions contemplated by this Agreement or materially alters the terms of this Agreement;.

No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, rule or Order (whether temporaryregulation, preliminary or permanent) that judgment, decree, injunction or other order which is in effect on the Closing Date and that prohibits or makes illegal, or materially impacts, the consummation of this Agreement and the transactions contemplated by this Agreement or materially alters the terms of this Agreement;hereby.

No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Legal Requirement statute, law, ordinance, rule, regulation, judgment, decree, injunction or Order other order (whether temporary, preliminary or permanent) that is in effect and prohibits consummation of the Merger, and no federal or state Governmental Entity shall have instituted any proceeding that prohibits is pending seeking any such judgment, decree, injunction or makes illegal, or materially impacts, other order to prohibit the consummation of the transactions contemplated by this Agreement or materially alters the terms of this Agreement;Merger.

No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Legal Requirement order, executive order, stay, decree, judgment or Order injunction (whether temporary, preliminary or permanent) that or statute, rule or regulation which is in effect and that prohibits which has the effect of making illegal or makes illegal, or materially impacts, the otherwise prohibiting consummation of the transactions contemplated by this Agreement or materially alters the terms of this Agreement;.

No Governmental Entity. of competent jurisdiction shall have enacted, issued, promulgated, enforced or entered any Legal Requirement Law or Order (whether temporary, preliminary or permanent) that is in effect and that prohibits or taken any other action which, as of the Closing Date, prohibits, restricts or makes illegal, or materially impacts, the illegal consummation of the transactions contemplated by this Agreement herein contemplated, and no formal proceeding seeking such an Order or materially alters the terms of this Agreement;action shall have been commenced.
