No suit, action, investigation, inquiry or other proceeding by any governmental, regulatory, licensing or other authority or other person or entity shall have been instituted or threatened which questions the validity or legality of the transactions contemplated hereby and which could reasonably be expected to materially damage Seal if the transactions contemplated hereunder are consummated.
