No Governmental Proceeding or Litigation. No suit, action, investigation, inquiry or and administrative or other proceeding by any governmental body or other person or entity shall have been instituted or threatened which questions the validity or legality of the transactions contemplated hereby. There shall be no pending or threatened litigation, or asserted or unasserted claims, assessments, or other loss contingencies, which could have a Material Adverse Effect on the Company other than as disclosed in the Disclosure Schedules delivered pursuant hereto as of the date of this Agreement.
