Common use of No Governmental Restraints Clause in Contracts

No Governmental Restraints. No Governmental Authority shall have (i) enacted, issued, promulgated, entered, enforced or deemed applicable to the Merger any Law that has the effect of making the Merger illegal or which has the effect of prohibiting or otherwise preventing the consummation of the Merger, or (ii) issued or granted any judgment, decree, injunction or other Order (whether temporary, preliminary or permanent) that, as of immediately prior to the Effective Time, remains in effect and has the effect of making the Merger illegal or prohibiting or otherwise preventing the consummation of the Merger.

No Governmental Restraints. No Governmental Authority shall have (iA) enacted, issued, promulgated, entered, enforced or deemed applicable to the Merger any Law that has the effect of making the Merger illegal or which has the effect of prohibiting or otherwise preventing the consummation of the Merger, or (iiB) issued or granted any judgment, decree, injunction or other Order (whether temporary, preliminary or permanent) that, as of immediately prior to the Effective Time, remains that is in effect and has the effect of making the Merger illegal or prohibiting or otherwise preventing the consummation of the Merger.

No Governmental Authority of competent jurisdiction shall have (i) enacted, issued, promulgated, entered, entered or enforced or deemed applicable to the Merger any Law or Order that has the effect of making the consummation of the Merger illegal or which has the effect of prohibiting or otherwise preventing the consummation of the Merger, or (ii) issued or granted any judgment, decree, injunction or other Order (whether temporary, preliminary or permanent) that, as of immediately prior to the Effective Time, remains in effect and has the effect of making the Merger illegal or prohibiting or otherwise preventing the consummation of the Merger.
