Neither the Company nor any of the Subsidiary Guarantors has have previously entered into any agreement granting any registration rights with respect to its their securities to any Person. The rights granted to the Holders hereunder do not in any way conflict with and are not inconsistent with the rights granted to the holders of any of the Company’s or any of the Subsidiary Guarantors’ securities under any agreement in effect on the date hereof.
