No Injunction or Prohibition. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is then in effect and that enjoins, restrains, conditions, makes illegal or otherwise prohibits the consummation of the transactions contemplated by this Agreement or the Ancillary Agreements.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) ), that is then in effect and that enjoins, restrains, conditions, makes illegal or otherwise prohibits the consummation of the transactions contemplated by this Agreement or the Ancillary Agreements.

No Governmental Authority Entity of competent jurisdiction shall have enacted, issued, promulgatedadopted, enforced enacted or entered promulgated any Order, decree, ruling, injunction or Law that is in effect (whether temporary, preliminary or permanent) that is then in effect and that enjoinsrestraining, restrainsenjoining, conditions, makes making illegal or otherwise prohibits prohibiting the consummation of the transactions contemplated by this Agreement or the Ancillary AgreementsAgreement.

No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Law (whether temporary, preliminary or permanent) that is then in effect and that enjoins, restrains, conditions, makes illegal or otherwise prohibits the consummation of the transactions sale and purchase of the Purchased Units contemplated by this Agreement or the Ancillary AgreementsAgreement.
