No Injunction or Restraint. No injunction or restraining order shall have been issued by any court of competent jurisdiction and be in effect which restrains or prohibits any material transaction contemplated hereby and no petition in bankruptcy, insolvency or similar proceeding shall have been instituted against Seller and Seller shall not have made a general assignment for the benefit of creditors.
