No Injunction; Sale Order is Final. There shall not be in effect, at the Closing Date, any injunction or other binding order of any court or other tribunal having jurisdiction over Purchaser that prohibits the purchase of the Purchased Assets by Purchaser. The Sale Order shall have been entered, shall not have been reversed or vacated, and shall not be subject to appeal or a stay pending appeal. The stay provided for in Fed.R.Bankr.P. 6004(g) shall have expired or waived by the Bankruptcy Court.
