Common use of No Injunctions, Orders or Restraints; Illegality Clause in Contracts

No Injunctions, Orders or Restraints; Illegality. No preliminary or permanent injunction or other order, decree or ruling issued by a court or other Governmental Authority of competent jurisdiction nor any statute, rule, regulation or executive order promulgated or enacted by any Governmental Authority of competent jurisdiction shall be in effect which would have the effect of (i) making the consummation of the Merger illegal or (ii) otherwise prohibiting the consummation of the Merger.

No Injunctions, Orders or Restraints; Illegality. No temporary restraining order, preliminary or permanent injunction or other order, decree or ruling issued by a court or other Governmental Authority Entity of competent jurisdiction nor any statute, rule, regulation or executive order promulgated or enacted by any Governmental Authority Entity of competent jurisdiction shall be in effect which would and have the effect of (i) making the consummation of the Merger illegal illegal, or (ii) otherwise prohibiting the consummation of the Merger.
