Common use of No Injunctions, Orders or Restraints; Illegality Clause in Contracts

No Injunctions, Orders or Restraints; Illegality. No court or other Governmental Entity of competent jurisdiction shall have issued, enacted, promulgated, enforced or entered any temporary restraining order, preliminary or permanent injunction, order, Law or other legal restraint or prohibition restricting, preventing or making illegal the consummation of any of the Transactions which is still in effect.

No Injunctions, Orders or Restraints; Illegality. No court or other Governmental Entity of competent jurisdiction shall have issued, enacted, promulgated, enforced or entered any temporary restraining order, preliminary or permanent injunction, order, Law order or other legal restraint or prohibition restricting, preventing or making illegal the consummation of any of the Transactions Merger or the Subsequent Merger which is still in effect.

No Injunctions, Orders or Restraints; Illegality. No court or other Governmental Entity of competent jurisdiction shall have issued, enacted, promulgated, enforced or entered any temporary restraining order, preliminary or permanent injunction, order, Law injunction or other legal restraint Law preventing, prohibiting or prohibition restricting, preventing or making illegal restraining the consummation of any of the Contemplated Transactions which is still shall have been issued, entered, promulgated, enacted or enforced by any court of competent jurisdiction or other Governmental Body of competent jurisdiction and remain in effect, and there shall not be any Legal Requirement which has the effect of restraining, enjoining or otherwise prohibiting the consummation of the Contemplated Transactions.

No preliminary or permanent injunction or other order, decree or ruling issued by a court or other Governmental Entity of competent jurisdiction nor any statute, rule, regulation or executive order promulgated or enacted by any Governmental Entity of competent jurisdiction shall be in effect which would have issued, enacted, promulgated, enforced or entered any temporary restraining order, preliminary or permanent injunction, order, Law or other legal restraint or prohibition restricting, preventing or the effect of (i) making illegal the consummation of the transactions contemplated hereby illegal or (ii) otherwise prohibiting the consummation of the Closing, and no legal proceeding shall have been brought by a Governmental Entity seeking any of the Transactions which is still in effectforegoing.
