Common use of NO INTERCOMPANY PAYABLES OR RECEIVABLES Clause in Contracts

NO INTERCOMPANY PAYABLES OR RECEIVABLES. At the Closing there will be no intercompany payables or intercompany receivables due and/or owing between the Stockholders and any of their Affiliates, on the one hand, and the Company, on the other hand, except for the Stockholders' loans as set forth in ss.5.13 hereof, which shall be paid in full on or before the Closing Date.

At the Closing there will be no intercompany payables or intercompany receivables due and/or owing between the Stockholders Stockholder and any of their Affiliates, on the one hand, and the Company, on the other hand, except for the Stockholders' loans as set forth in ss.5.13 hereof, which shall be paid in full on or before the Closing Date.

At the Closing there will be no intercompany payables or intercompany receivables due and/or owing between the Stockholders Stockholder and any of their Affiliates, his Affiliates (other than the Companies) on the one hand, and the CompanyCompanies, on the other hand, except for the Stockholders' loans as set forth in ss.5.13 hereof, which shall be paid in full on or before the Closing Date.

NO INTERCOMPANY PAYABLES OR RECEIVABLES. At the Closing there will be no intercompany payables or intercompany receivables due and/or owing between the Stockholders Stockholder and any of their its Affiliates, on the one hand, and the Company, on the other hand, except for any obligations of the Stockholders' loans as set forth in ss.5.13 hereof, which shall be paid in full on Company to the Stockholder arising under the Post-Closing Real Estate Lease or before the Closing Datepredecessor Lease of the Real Property subject thereto.
