NO INTERCOMPANY PAYABLES OR RECEIVABLES. Except as disclosed on Schedule 5.5 hereto, at the Closing there will be no intercompany payables or intercompany receivables due and/or owing between the Stockholders and their Affiliates (other than the Companies) on the one hand, and the Companies, on the other hand, other than those incurred in the ordinary course of business and disclosed in the Notes to the Company Financial Statements.
