No Intermediary. There is no investment banker, broker, finder or other intermediary who might be entitled to any fee or commission upon consummation of the transactions contemplated by this Agreement based upon arrangements made by or on behalf such Investor.
No Intermediary. The Insurer represents and warrants that it has not, and CITIZENS represents and warrants that it has not, incurred an obligation to make payment of any fees to any intermediary with respect to the obligations afforded under this Agreement.

Except as otherwise disclosed by supplemental letter provided by the Seller to each Investor, there is no investment banker, broker, finder or other intermediary who might be entitled to any fee or commission upon consummation of the transactions contemplated hereby based upon arrangements made by or on behalf of the Seller and any such fee or commission as may be payable shall be the sole responsibility of the Seller and shall be paid by the Seller.

Buyer represents and warrants that (a) it has not entered into, and has no plan or intention to enter into or to cause the Company or any of its Subsidiaries to enter into (except in the ordinary course of business of the Company and its Subsidiaries), negotiations with any third party regarding the sale, transfer, assignment, conveyance or other disposition of the Stock or any material assets of the Company and its Subsidiaries and (b) it has not acted or been engaged as an agent, broker, finder or intermediary on behalf of any Person with respect to the sale, transfer, assignment, conveyance or other disposition of the Stock or any assets of the Company and its Subsidiaries.
No Intermediary. The Parties declare that they have not retained the services of any intermediary (e.g. agent, broker or other) with respect to the negotiation, preparation or entering into of this Agreement.
