No Intermediary Transaction Tax Shelter. Buyer shall not take any action with respect to the Target subsequent to the Closing that would cause any of the Transactions to constitute part of a transaction that is the same as, or substantially similar to, the “Intermediary Transaction Tax Shelter” described in Internal Revenue Service Notices 2001-16 and 2008-111.

This Section 6.7 shall not apply to any Section 338(h)(10) Companies and shall not apply to any transaction with respect to which substantially all of the gain recognized is not subject to United States federal income Tax.
