Notwithstanding anything in this Deed, no Notes may be offered for subscription or purchase, or issued or allotted, nor may any offer or invitation or Information Memorandum in respect of any Notes be distributed, (except in the case of the Information Memorandum, for information purposes only) in any Australian Jurisdiction.
