Common use of No Lawsuits Clause in Contracts

No Lawsuits. There is no lawsuit, proceeding or investigation pending or, to the knowledge of Purchaser, threatened, against Purchaser that would prevent or delay consummation of the transactions contemplated hereby.

No Lawsuits. There is no lawsuit, proceeding or investigation pending or, to the knowledge of Purchaser’s Knowledge, threatened, against Purchaser that would prevent or materially delay consummation of the transactions contemplated hereby.

No Lawsuits. There is no lawsuit, proceeding or investigation pending or, to the knowledge of PurchaserBuyer, threatenedthreatened against Buyer, against Purchaser that the effect of which would prevent or delay the consummation of any of the transactions contemplated hereby.

There is no action or suit by Purchaser pending or, to the knowledge of Purchaser, threatened against others relating to the Company.

There is no lawsuit, proceeding or investigation pending or, to the knowledge of PurchaserBuyer, threatened, threatened against Purchaser Buyer that would prevent or delay Buyer’s consummation of the transactions transaction contemplated herebyhereby or by the other Transaction Documents to which it is a party or that would materially and adversely affect Buyer’s ability to acquire the Interests as provided for herein.
