No Legal Action or Proceedings. No order, decision or ruling of any Governmental Authority will have been made, and no Legal Proceeding will be in progress, pending or threatened which, in the opinion of Vendors' Counsel, is likely to result in an order, decision or ruling, to disallow, enjoin or prohibit or impose any limitations or conditions on the transactions contemplated by this Agreement or the right of the Purchaser to own the Purchased Shares.
