The Notes and the Loan Documents, including this Agreement, do not and will not, to the best of Borrower's or any Guarantor's knowledge violate any provisions of any contract, agreement, law, regulation, order, injunction, judgment, decree or writ to which Borrower or any Guarantor is subject, or result in the creation or imposition of any lien or other encumbrance upon any assets or properties of Borrower, other than those contemplated by this Agreement.

No Legal Bar or Resultant Lien. The Notes and the Loan Documents, including this Agreement, do not and will not, to the best of each Borrower's or any Guarantor's knowledge violate any provisions of any material contract, agreement, law, regulation, order, injunction, judgment, decree or writ to which either Borrower or any Guarantor is subject, or result in the creation or imposition of any lien or other encumbrance upon any assets or properties of either Borrower, other than those contemplated by this Agreement.
