No Legal Impediment to Issuance and/or Sale. No action shall have been taken and no statute, rule, regulation or order shall have been enacted, adopted or issued by any federal, state or foreign governmental or regulatory authority that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance or sale of the Shares Securities by the Company; and no injunction or order of any federal, state or foreign court shall have been issued that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance or sale of the Shares Securities by the Company.

No action shall have been taken and no statute, rule, regulation or order shall have been enacted, adopted or issued by any federal, state or foreign governmental or regulatory authority that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance of the Shares by the Company to the Selling Stockholder or the sale of the Shares by the Company; Selling Stockholder and no injunction or order of any federal, state or foreign court shall have been issued that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance of the Shares by the Company to the Selling Stockholder or the sale of the Shares by the CompanySelling Stockholder.

No action shall have been taken and no statute, rule, regulation or order shall have been enacted, adopted or issued by any federal, state or foreign governmental or regulatory authority that remains in effect and would, as of the Closing Date or the Additional Closing Date, as the case may beTime, prevent the issuance or sale of the Shares by the CompanySecurities; and no injunction or order of any federal, state or foreign court shall have been issued that remains in effect and would, as of the Closing Date or the Additional Closing Date, as the case may beTime, prevent the issuance or sale of the Shares by the CompanySecurities.

No action shall have been taken and no statute, rule, regulation or order shall have been enacted, adopted or issued by any federal, state or foreign governmental or regulatory authority that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance or sale of the Shares pursuant to this Agreement by the Company; and no injunction or order of any federal, state or foreign court shall have been issued that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance or sale of the Shares pursuant to this Agreement by the Company.

No Legal Impediment to Issuance and/or Sale. No action shall have been taken and no statute, rule, regulation or order shall have been enacted, adopted or issued by any federal, state or foreign governmental or regulatory authority Governmental Agency that would, as of the Closing Date or the such Additional Closing Date, as the case may be, prevent the issuance or sale of the Shares or the consummation of the transactions contemplated by the Companythis Agreement; and no injunction or order of any federal, state or foreign court shall have been issued that would, as of the Closing Date or the such Additional Closing Date, as the case may be, prevent the issuance or sale of the Shares or the consummation of the transactions contemplated by the Companythis Agreement.

No action shall have been taken and no statute, rule, regulation or order shall have been enacted, adopted or issued by any federal, state or foreign governmental or regulatory authority that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance or sale of the Shares by the Company; Selling Stockholders and no injunction or order of any federal, state or foreign court shall have been issued that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance or sale of the Shares by the CompanySelling Stockholders.

No Legal Impediment to Issuance and/or Sale. No action shall have been taken and no statute, rule, regulation or order shall have been enacted, adopted or issued by any federal, state or foreign governmental or regulatory authority that would, as of the Closing Date or the Additional Closing Date, as the case may beof Delivery, prevent the issuance or sale of the Option Depositary Shares by the Company; and no injunction or order of any federal, state or foreign court shall have been issued that would, as of the Closing Date or the Additional Closing Date, as the case may beof Delivery, prevent the issuance or sale of the Option Depositary Shares by the Company.

No action shall have been taken and no statute, rule, regulation or order shall have been enacted, adopted or issued by any United States federal, state or foreign non-United States governmental or regulatory authority that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance or sale of the Shares by the Company; and no injunction or order of any United States federal, state or foreign non-United States court shall have been issued that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance or sale of the Shares by the Company.

No Legal Impediment to Issuance and/or Sale. No action shall have been taken and no statute, rule, regulation or order shall have been enacted, adopted or issued by any federal, state or foreign governmental or regulatory authority that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance issuance, sale or sale delivery to the Underwriters of the Shares by Securities or the Companyissuance of the Guarantee; and no injunction or order of any federal, state or foreign court shall have been issued that would, as of the Closing Date or the Additional Closing Date, as the case may be, prevent the issuance or sale of the Shares by Securities or the Companyissuance of the Guarantee.

No Legal Impediment to Issuance and/or Sale. No action shall have been taken and no statute, rule, regulation or order shall have been enacted, adopted or issued by any federal, state or foreign governmental or regulatory authority that would, as of the Closing Time of Delivery or Date or the Additional Closing Dateof Delivery, as the case may beapplicable, prevent the issuance or sale of the Shares Securities by the Company; and no injunction or order of any federal, state or foreign court shall have been issued that would, as of the Closing Time of Delivery or Date or the Additional Closing Dateof Delivery, as the case may beapplicable, prevent the issuance or sale of the Shares Securities by the Company.
