Common use of No Legal Prohibition Clause in Contracts

No Legal Prohibition. No Governmental Authority of competent jurisdiction shall have enacted, issued or promulgated any Law or granted any Governmental Order that is in effect and has the effect of making the transactions contemplated by the Transaction Documents illegal in any jurisdiction in which the Group Companies have material business or operations or in which a Group Company is incorporated or which has the effect of prohibiting or otherwise preventing the consummation of any of such transactions in any jurisdiction in which the Group Companies have material business or operations.

No Governmental Authority of competent jurisdiction shall have enacted, issued or promulgated any Law or granted any Governmental Order that is in effect and has the effect of making the transactions contemplated by the Transaction Documents this Agreement illegal in any jurisdiction in which the Group Companies have material business or operations or in which a Group Company is incorporated or which has the effect of prohibiting or otherwise preventing the consummation of any of such transactions in any jurisdiction in which the Group Companies have material business or operations.

No Governmental Authority Entity of competent jurisdiction shall have (i) enacted, issued or promulgated any Law or granted any Governmental Order that is in effect and has the effect of making the transactions contemplated by the Transaction Documents illegal or (ii) issued or granted any order or injunction (whether temporary, preliminary or permanent) that is in any jurisdiction effect, in which the Group Companies have material business or operations or in which a Group Company is incorporated or each case which has the effect of prohibiting restraining, enjoining or otherwise preventing prohibiting the consummation of any of such transactions in any jurisdiction in which the Group Companies have material business or operationsTransactions.

No Legal Prohibition. No Governmental Authority Entity of competent jurisdiction shall have (i) enacted, issued issued, promulgated, entered or promulgated enforced any Law law, statute or granted any Governmental Order regulation that is in effect and has the effect of making the transactions contemplated by the Transaction Documents Merger illegal in any jurisdiction in which the Group Companies have Company has material business or operations or prohibiting the Merger or (ii) issued or granted any Order that is in which a Group Company is incorporated or which effect and that has the effect of prohibiting or otherwise preventing making the consummation of any of such transactions Merger illegal in any jurisdiction in which the Group Companies have Company has material business or operationsoperations or prohibiting the Merger.
