No Legal Prohibition. No Law shall be in effect, no Order shall have been issued or litigation initiated by any Governmental Authority that restrains, enjoins or prohibits the consummation of the sale and purchase of all the Purchased Shares pursuant to this Agreement and the other Contemplated Transactions or may potentially rescind the Contemplated Transactions or adversely affect the title to the Purchased Shares.
