No Legal Restraints. No judgment, decree, injunction or order, preliminary, temporary or permanent, and no binding order or determination by any Governmental Entity of competent jurisdiction will be in effect, and no Law shall be enacted, enforced or deemed applicable by a Governmental Entity of competent jurisdiction, which makes illegal, prohibits or would prevent the consummation of the transactions contemplated by this Agreement.
