No Liabilities, Material Contracts or Distributions. Other than as set forth in the Pricing Disclosure Package, since the date as of which information is given in the Pricing Disclosure Package, none of the BreitBurn Entities has (i) incurred any liability or obligation, direct or contingent, other than liabilities and obligations that were incurred in the ordinary course of business, (ii) entered into any material transaction not in the ordinary course of business that, individually or in the aggregate, is material to the BreitBurn Entities, taken as a whole or (iii) declared, paid or made any dividend or distribution on any class of security other than regular quarterly pro rata distributions to holders of Common Units.
