Common use of NO LIABILITY AS A RESULT OF THE DELIVERY OF A CERTIFICATE Clause in Contracts

NO LIABILITY AS A RESULT OF THE DELIVERY OF A CERTIFICATE. The Note Trustee shall have no liability whatsoever for any loss, cost, damages or expenses directly or indirectly suffered or incurred by the Issuer, any Noteholder or any other person as a result of the delivery by the Note Trustee of a certificate, or the omission by it to deliver a certificate, to the Issuer as to material prejudice, on the basis of an opinion formed by it in good faith.

The Note Trustee shall have no liability whatsoever for any loss, cost, damages or expenses Liabilities directly or indirectly suffered or incurred by the Issuer, any Noteholder Noteholder, any other Issuer Secured Creditor or any other person as a result of the delivery or non-delivery by the Note Trustee of a certificate, or the omission by it to deliver a certificate, certificate to the Issuer as to material prejudice, on the basis prejudice pursuant to Condition 11(a)(ii) (Issuer Events of an opinion formed by it in good faithDefault).
