Common use of No liability for compliance Clause in Contracts

No liability for compliance. (a) The Servicer is not in breach of its duties under this Agreement or otherwise liable to the Trustee if it complies strictly with the relevant Procedures Manual unless: (i) the relevant Procedures Manual does not materially comply with any Law; or (ii) the Servicer is not otherwise complying with clauses 2.2 and 3 in relation to the relevant matter or duty. (b) If the Servicer becomes aware that any Procedures Manual does not materially comply with any Law, it shall notify the Trustee within 10 Business Days and take all reasonable steps to rectify that non-compliance.
