No liability for compliance. (a) The Custodian is not in breach of its duties under this Agreement or otherwise liable to the Trustee if it complies strictly with the relevant Custodial Procedures unless: (i) the relevant Custodial Procedures do not materially comply with any Law; or (ii) the Custodian is not otherwise complying with clauses 2.2 and 4 in relation to the relevant matter or duty. ------------------------------------------------------------------------------ Page (10) Custodian Agreement Xxxxx Xxxxx & Xxxxxxx ------------------------------------------------------------------------------ (b) If the Custodian becomes aware that any Custodial Procedures do not materially comply with any Law, it shall notify the Trustee within 10 Business Days and take all reasonable steps to rectify that non-compliance.
