Common use of No Liability of Members Clause in Contracts

No Liability of Members. Except as otherwise required by applicable law and as expressly set forth in this Agreement, no Member shall have any personal liability whatsoever in such Member’s capacity as a Member, whether to the Company, to the creditors of the Company or to any other third party, for the debts, liabilities, commitments or any other obligations of the Company or for any losses of the Company. Each Member shall be liable only to make such Member’s Capital Contribution to the Company and the other payments provided expressly herein.

No Liability of Members. Except as otherwise required by applicable law and as expressly set forth in this Agreement, no Member shall have any personal liability whatsoever in such Member’s capacity as a Member, whether to the Company, to any of the other Members, to the creditors of the Company or to any other third party, for the debts, liabilities, commitments or any other obligations of the Company or for any losses of the Company. Each Capital Member shall be liable only to make such Capital Member’s Capital Contribution Contributions to the Company and the other payments and covenants provided expressly herein.

Except as otherwise required by applicable law and as expressly set forth specifically provided in this Agreement, no Member shall have any personal liability whatsoever in such Member’s capacity as a Member, whether after his admission to the Company, shall be obligated, pursuant to this Agreement, to contribute additional funds or property, or loan money, to the creditors Company. Nothing in this Section 5.2 shall be interpreted or applied to alter the explicit terms of this Agreement or the Act, including without limitation, the limitations set forth in this Agreement and the Act on a Member’s obligation to contribute towards the liabilities of the Company or to any other third party, for the debts, liabilities, commitments or any other obligations of the Company or for any losses of the Company. Each Member shall be liable only to make such Member’s Capital Contribution to the Company and the other payments provided expressly hereinMembers.
