No Litigation Affecting Merger. No judgment, decree, order or ruling of any court or regulatory or governmental authority shall have been issued or entered against Harvest which would be violated by the completion of the Merger, and no person or entity which is not a party to this Agreement shall have commenced any litigation against Harvest seeking to restrain or prohibit, or to obtain substantial damages in connection with, this Agreement or the transactions contemplated hereby.
