No Litigation; No Order. No action, suit or proceeding shall be pending or, to the knowledge of the Company, threatened, that seeks to restrain or prevent, or seeks changes in connection with, the consummation of the transactions contemplated by this Agreement or the contemplated issuance and sale of Series A Preferred Stock, and no order (including, without limitation, a temporary restraining order), decree, writ, judgment or injunction shall be in effect that restrains, enjoins or prevents the consummation of the transactions contemplated by this Agreement or the contemplated issuance and sale of Series A Preferred Stock.
