Common use of No Litigation or Injunction Clause in Contracts

No Litigation or Injunction. No action or proceeding by or before any court, arbitrator, or other Governmental Authority shall have been instituted or threatened in writing by any Governmental Authority or Person whatsoever (other than by the Seller or its Affiliates) which shall reasonably seek to impair, restrain, prohibit or invalidate the transactions contemplated by this Agreement or the Buyer’s ability to perform its material obligations hereunder. There shall not be any Claims filed by any Governmental Authority restraining, enjoining or otherwise prohibiting or making illegal the consummation of any of the transactions contemplated by this Agreement.
