No Litigation or Injunction. There shall not be instituted or pending any suit, action or proceeding by any Governmental Entity relating to this Agreement, any of the Company Ancillary Agreements or Parent Ancillary Agreements or any of the transactions contemplated herein or therein. No temporary restraining order, preliminary or permanent injunction or other order from any court of competent jurisdiction restraining, prohibiting or preventing the consummation of the Merger shall have been issued and be in effect.
