Common use of No Litigation Threatened Clause in Contracts

No Litigation Threatened. No action or proceedings shall have been instituted or, to the best knowledge, information and belief of the Shareholder and the Company, shall have been threatened before a court or other government body or by any public authority to restrain or prohibit any of the transactions contemplated hereby, and the Shareholder and the Company shall have delivered to Halter a certificate, dated the Closing Date, to such effect.

No action or proceedings proceeding shall have been instituted or, to the best knowledge, information and belief of the Shareholder Seller and the CompanyStockholder, shall have been threatened before a court or other government body or by any public authority to restrain or prohibit any of the transactions contemplated hereby, hereby or which would have a material adverse effect on the Seller. The President of the Seller and the Shareholder and President of the Company Stockholder shall have delivered to Halter the Purchaser a certificate, dated the Closing Date, to such effect.
