No Material Adverse Change; Due Diligence. No material adverse change ----------------------------------------- shall have occurred in the financial condition, business, properties, assets, liabilities, results of operations or prospects of Wentworth since September 30, 2002, other than as referred to in this Agreement. Additionally, Whitco shall be satisfied in all material respects with the results of its due diligence investigation of Wentworth.
