Common use of No Material Adverse Effect; Litigation Clause in Contracts

No Material Adverse Effect; Litigation. The Global Administrative Agent shall have received a certificate, signed by an Authorized Officer of Borrower, stating that (i) no event or condition has occurred since December 31, 2006, which could reasonably be expected to have a Closing Material Adverse Effect and (ii) no litigation, arbitration, governmental proceeding, claim for Taxes, dispute or administrative or other proceeding shall be pending or, to the knowledge of Borrower, threatened against Borrower or Target or any of their respective Subsidiaries which could reasonably be expected to have a Closing Material Adverse Effect or which purports to affect the legality, validity or enforceability of this Agreement or any other Loan Document.

The Global Administrative Agent shall have received a certificate, signed by an Authorized Officer of the Borrower, stating that (i) no event or condition has occurred since December March 31, 20062003, which could reasonably be expected to have a Closing Material Adverse Effect and (ii) no litigation, arbitration, governmental proceeding, claim for Taxes, dispute or administrative or other proceeding shall be pending or, to the knowledge of the Borrower, threatened against the Borrower or Target Matador or any of their respective Subsidiaries which could reasonably be expected to have a Closing Material Adverse Effect or which purports to affect the legality, validity or enforceability of this Agreement or any other Combined Loan Document.
