Neither Party B nor any of its subsidiaries has any material contingent obligation, contingent liability or liability for taxes, long-term lease or unusual forward or long-term commitment, which is not reflected in the financial statements delivered to Party A pursuant to this Schedule or in the notes thereto. Each of the foregoing representations shall constitute an “Additional Representation” for purposes of Section 3 of the Agreement.
