No Material Event. Prior to the Cut-Off Date, no event including, without limitation, fire, flood, earthquake, explosion, act of God, war, civil commotion, labor disruption, act of any Governmental Authority, or the termination or modification of a material contract or business relationship of the Company or the Parent (whether or not such event is covered by insurance), shall have occurred which in the Seller's or the Majority Stakeholders' reasonable judgment has a Material Adverse Effect.
