No Material Judgment or Order. There shall not be on the Closing Date any Order of a court of competent jurisdiction or any ruling of any Governmental Authority or any condition imposed under any Requirement of Law which would prohibit or restrict (i) the purchase of the Purchased Shares or (ii) the consummation of the transactions contemplated by this Agreement.

No Material Judgment or Order. There shall not be on the Closing Date any Order of a court of competent jurisdiction or any ruling of any Governmental Authority or any condition imposed under any Requirement of Law which would (a) prohibit or restrict (i) the purchase issuance and sale of the Purchased Target Shares or (ii) the consummation of the transactions contemplated by this AgreementAgreement or any other Transaction Document, or (b) materially restrict the operation of the business of any of the Group Companies as conducted on the date hereof.

There shall not be on the Closing Date any Order of a court of competent jurisdiction or any ruling of any Governmental Authority or any condition imposed under any Requirement of Law which that, in the reasonable judgment of the Company, would prohibit or restrict (i) the purchase sale of the Purchased Shares Note or (ii) subject the consummation Company to any penalty or other onerous condition under or pursuant to any Requirement of Law if the transactions contemplated by this AgreementNote were to be purchased hereunder.

There shall not be on the Closing Date any Order of a court of competent jurisdiction or any ruling of any Governmental or Regulatory Authority or any condition imposed under any Requirement of Law which would would, in the reasonable judgment of the Company, (a) prohibit or restrict (i) the purchase of the Purchased Preference A Shares or (ii) the consummation of the transactions contemplated by this Agreement, or (b) subject the Company to any material penalty or onerous condition under or pursuant to any Law if the Preference A Shares were to be purchased hereunder.

There shall not be in effect on the Closing Date any Order of a court of competent jurisdiction or any ruling of any court or other Governmental Authority or any condition imposed under any Requirement of Law which would (a) prohibits or restricts or purports to prohibit or restrict (i) the purchase of the Purchased Shares Transferred Assets or (ii) the consummation of the any transactions contemplated by this Agreement or (b) restricts the performance by Purchaser of its obligations under this Agreement.
