Common use of No Material Judgment or Order Clause in Contracts

No Material Judgment or Order. There shall not be on the Closing Date any judgment or order of a court of competent jurisdiction or any ruling of any governmental authority or any condition under Applicable Law which, in the judgment of the Noteholders would prohibit the purchase of the Convertible Notes hereunder or subject the Noteholders to any penalty or other onerous condition under or pursuant to Applicable Law if the Convertible Notes were to be purchased hereunder.

No Material Judgment or Order. There shall not be in effect on the Initial Closing Date any judgment judgment, injunction or order of a court of competent jurisdiction or any ruling of any governmental authority Governmental Entity or any condition imposed under Applicable any Requirement of Law which, in the judgment of the Noteholders Purchaser, would prohibit the purchase of the Convertible Notes hereunder or subject the Noteholders Purchaser to any penalty or other onerous condition under or pursuant to Applicable any Requirement of Law if the Convertible Notes were to be purchased hereunder.
