Common use of No Material Judgment or Order Clause in Contracts

No Material Judgment or Order. There shall not be on the Closing Date any judgment or order of a court of competent jurisdiction or any ruling of any agency of the Federal, state or local government that, in the reasonable judgment of any Investor or its counsel, would prohibit the sale or issuance of the Securities hereunder or subject the Company to any material penalty if the Securities were to be issued and sold hereunder.

There shall not be on the Closing Date any judgment or order of a court of competent jurisdiction or any ruling of any agency Governmental Authority affecting the Company or any Company Affiliate or any condition imposed under any Requirement of Law affecting the Federal, state Company or local government thatany Company Affiliate which, in the reasonable judgment of any Investor or its counselthe Purchasers, would (i) prohibit the sale or issuance purchase of the Securities hereunder Preferred Shares or the consummation of the other transactions contemplated hereunder, (ii) subject the Company Purchasers to any material penalty if the Securities were to be issued and sold hereunder.the

There shall not be on the Closing Date any judgment or order of a court of competent jurisdiction or any ruling of any agency of the Federal, state or local government that, in the reasonable judgment of any Investor Purchaser or its counsel, would prohibit the sale or issuance of the Securities hereunder or the issuance or purchase of the LLC Interests or subject any of the Company Companies to any material penalty if the Securities were to be issued and sold hereunderhereunder or the LLC Interests were to be issued or purchased as contemplated hereby.

There shall not be on the Closing Date any judgment or order of a court of competent jurisdiction or any ruling of any agency Governmental Body that would prohibit or, in any material respect, impede, delay, restrict or tax the sale of the Federal, state or local government that, in the reasonable judgment of any Investor or its counsel, would prohibit the sale or issuance of the Securities hereunder or subject the Company to any material penalty if the Securities were to be issued and sold Shares hereunder.
